Omada Wine Import ApS – Wholesale (B2B) Sales and Rentals

These Terms & Conditions apply to all sales, deliveries, and rental agreements entered into by Omada Wine Import ApS (“Omada”, “we”, “us”) with professional customers (“Customer”). By placing an order, the Customer accepts these Terms & Conditions.

1. Governing Law and Venue

All agreements are governed by Danish law. Any disputes shall be settled by the Danish courts, with Copenhagen as the agreed venue.

2. Prices and Orders

• All prices are exclusive of VAT, duties, and delivery costs unless otherwise stated.
• Prices may change at any time before order confirmation.
• Orders are binding only when confirmed by Omada.
• We reserve the right to cancel or adjust an order in case of errors in price, availability, or other circumstances.

3. Payment Terms

• Payment terms are specified on the invoice. Some customers may be offered credit terms; others are required to prepay via bank transfer, MobilePay, or credit card.
• Late payment interest will accrue as stated on the invoice and in accordance with Danish law.
• Ownership of goods remains with Omada until full payment has been received.

4. Delivery and Transfer of Risk

• Deliveries in Copenhagen are handled by Omada’s own logistics (bike messenger). Outside Copenhagen, deliveries are made via third-party transport, including overseas shipments.
• Risk of loss or damage passes to the Customer at the time of delivery or agreed pickup.
• Delivery times are indicative only. We are not liable for delays caused by transport providers or other circumstances beyond our control.

5. Returns and Restocking

• Returns must be agreed in advance and received by us within 14 days of delivery, unless otherwise agreed.
• Return shipping and handling is the responsibility of the Customer.
• Returned goods must be in original condition and packaging.

Wine bottles

• Full unopened cases (6 bottles): accepted with a restocking fee of DKK 30 per case.
• Special sizes (e.g. magnums): accepted with a restocking fee of DKK 10 per bottle.

Beer/cans

• Returns not accepted.

KeyKegs

• Returns accepted with a restocking fee of DKK 50 per KeyKeg.

6. Rentals

6.1 KeyKeg Dispensing System

• Minimum rental period: 1 day.
• Equipment is delivered clean and tested.
• If the system fails due to no fault of the Customer, Omada will attempt to replace it or reimburse the rental fee.
• If damage occurs due to improper use or mishandling, the Customer will be invoiced DKK 6,500 (rental cost deducted).

6.2 Glass Rentals

• Minimum rental period: 1 day.
• Glasses are supplied and returned unwashed; Omada handles all cleaning.
• Broken or missing glasses will be invoiced at DKK 30 per glass.

7. Liability

• Omada is not liable for indirect or consequential losses, including loss of profit, business interruption, or similar.
• Our liability for direct damages is limited to the invoiced amount of the relevant order or rental.
• Nothing in these Terms excludes liability for gross negligence or willful misconduct.

8. Force Majeure

Omada is not liable for failure to perform or delays due to circumstances beyond our reasonable control, including but not limited to strikes, lockouts, accidents, breakdowns, supplier issues, transport delays, natural disasters, war, pandemics, or government restrictions.

9. Amendments

Omada may update these Terms & Conditions from time to time. The version published on our wholesale website at the time of order shall apply.
